These Terms and Conditions (“Terms”) govern your access to and use of all products, applications, websites and services provided by Mi Wallet LTD (“Mi Wallet”, “we”, “us” or “our”).

By accessing or using any of our services, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use our services.

1. About Mi Wallet LTD

Mi Wallet LTD is a registered company operating in the Republic of Malawi. We provide digital business systems and technology services including:

Mi Wallet OmniPOS
Mi Wallet Credit systems
Loan and micro-finance management systems
Payment and financial record systems
Web development services
Mobile application development services
Hosting and infrastructure services
Database design and management services
Technical support, maintenance and consulting

2. Definitions

“Service” means any system, platform, software, website, API or support service provided by Mi Wallet LTD.
“User” means any person or business accessing or using our services.
“Customer Data” means all data entered, uploaded or generated by you when using our systems.

3. Account Registration and Access

To use certain services, you may be required to create an account. You agree that:

All information you provide is accurate and complete
You will keep your login credentials confidential
You are responsible for all activities performed under your account

You must notify us immediately if you believe your account has been compromised.

4. Use of Our Systems

You agree to use our services only for lawful business and operational purposes. You must not:

Use our systems for illegal or fraudulent activities
Attempt to gain unauthorised access to any system, database or infrastructure
Interfere with system security, performance or integrity
Resell, copy, modify or distribute our software without written permission

5. Financial, Credit and Loan Systems Disclaimer

Our credit, lending and loan management systems are tools for record keeping and operational management.

Mi Wallet LTD:

Does not provide financial, legal or regulatory advice
Does not guarantee loan recovery, repayments or borrower behaviour
Is not responsible for your lending decisions, credit approvals or interest calculations

You are solely responsible for complying with all financial, lending, consumer protection and regulatory laws applicable in your jurisdiction.

6. Customer Data and Ownership

All data you store in our systems remains your property.

Mi Wallet LTD acts only as a data processor and service provider. You are fully responsible for:

The legality of collecting customer, borrower or business data
The accuracy of the data entered into the system
Informing your customers about how their data is used

7. Hosting, Backups and Availability

We make reasonable efforts to keep our services available and reliable. However, we do not guarantee uninterrupted or error-free operation.

System availability may be affected by:

Maintenance activities
Infrastructure failures
Third-party service providers
Internet or network disruptions

You are strongly encouraged to maintain your own independent backups where possible.

8. Development Services (Web & App Development)

For custom development services provided by Mi Wallet LTD:

Project scope, timelines and costs shall be agreed separately in writing
Changes to requirements may affect delivery time and pricing
Ownership and licensing of developed software shall be governed by the applicable project agreement

9. Fees, Subscriptions and Payments

Certain services may require payment or subscription.

You agree to:

Pay all applicable fees on time
Provide valid billing information
Comply with any agreed subscription terms

Failure to pay may result in suspension or termination of your access.

10. Suspension and Termination

We may suspend or terminate your access if:

You breach these Terms
Your use of the service exposes us to legal or security risk
Required payments remain outstanding

Upon termination, your access to the system may be disabled.

11. Intellectual Property

All software, systems, designs, documentation, logos and branding provided by Mi Wallet LTD remain our intellectual property unless otherwise agreed in writing.

You receive a limited, non-exclusive right to use our systems during your subscription or service period.

12. Confidentiality

Both parties agree to maintain the confidentiality of any non-public business, technical or operational information exchanged during the provision of services.

13. Limitation of Liability

To the maximum extent permitted by law, Mi Wallet LTD shall not be liable for:

Loss of profits
Loss of business
Loss of data
Loss arising from system downtime or interruptions
Decisions made based on data generated by our systems

Our services are provided on an “as is” and “as available” basis.

14. Indemnity

You agree to indemnify and hold Mi Wallet LTD harmless against any claims, damages, losses or legal actions arising from:

Your misuse of the services
Your violation of applicable laws
Your handling of customer or borrower data

15. Data Protection and Privacy

Your use of our services is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we process personal data.

16. Changes to the Terms

We may update these Terms from time to time. Updated versions will be published on our website and will become effective immediately upon publication.

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Malawi.
